Yara Shahidi looks great for Hollywood Reporter Cover!
There is no stopping Black-ish star Yara Shahidi. The 18-year-old actress is set on inciting change wherever she goes, from Hollywood to Harvard and beyond.
Black-ish‘s breakout star Yara Shahidi spoke with The Hollywood Reporter about her college-bound goals, what sparked her political activism, plus how she’s finding ways to make major change in Hollywood — all at age 18. Check out the most interesting bits from the interview below.

For starters, she has a letter of recommendation from Michelle Obama
Shahidi will attend Harvard University in a few weeks. She told The Hollywood Reporter that she feels it won’t be as hard as everyone assumes college to be. If this were coming from any other 18-year-old, there’d be skepticism. But Shahidi not only has a perfect GPA and some impressive application essays, she also has a letter of recommendation from former first lady Michelle Obama.
The actress was unsurprisingly accepted into every school she applied to, from Yale and Stanford to the historically black women’s college Spelman. Shahidi plans to get a degree in sociology and African-American studies, seeing her future as “policy adjacent.”

She’s got some uber famous relatives
The actress’ family is no stranger to fame. Shahidi has one cousin who is an astronaut, Anousheh Ansari, and her second cousin is rapper Nas. Shahidi’s told InStyle that her mother grew up with the famous rapper and she was a flower girl at his wedding. Her mother was a successful commercial actress and her father was Prince’s official photographer. Yeah, our jaws have dropped and they likely will stay that way.

Shahidi told THR that “it’s hard to even synthesize the impact of having that as my family.”
Her activism was sparked by the 2016 election
Like many her age, Shahidi says she felt the need to become politically active following the 2016 election. She and many of her peers were unable to vote at the time, and she admits:
There was a feeling of being lost. Like, ‘What can we do to contribute to our sociopolitical landscape.

And she’s ready to make change happen
As a mixed-race millennial whose mother is African-American and father emigrated from Iran, Shahidi has spoken up on issues close to her before, once comparing Black Lives Matter to the protests in Iran. Speaking on our current president and her reasonable frustrations, Shahidi told Larry King’s web series:

Part of it is [being] a young black girl with the last name Shahidi who has relatives in Iran.”

Shahidi is a proud activist and the head of Eighteen x 18, an initiative that encourages teams to register to vote ahead of the 2018 midterms. In what we think should be a birthday theme from now till November, Shahidi had a registration booth at her 18th birthday party.
She told THR that instead of simply bashing the president (a popular trend among her celebrity peers), Shahidi wants to do more, and more importantly, inform more.
The knowledge disparity stems from the fact that news isn’t marketed to me and my peer. It’s as though it doesn’t pertain to us, even though half of these policies that are being implemented will affect us. We know people who are immigrants, we know people who are undocumented.

She urged Grown-ish creator to have a diverse cast
Famous for her time on Black-ish and now heading to the show’s spinoff, Grown-ish, Shahidi is definitely an entertainer. But her time on a television show set hasn’t stopped her goals to spark progress. Kenya Barris, creator of both shows, told THR that she’s definitely put in her point of view when it comes to plot and dialogue, adding that the star urged him to “cast actors with a wider array of skin tones.”

#RHOA: Boss Woman Cynthia Bailey is giving you a snaek peek of her Wine Cooler Development Process Ahead of Winery Opening
As she continues to develop her own wine cellar, “The Real Housewives of Atlanta” star Cynthia Bailey is also concocting her own signature flavor.
Bailey on Monday posted a series of videos on her Instagram page which gave fans a sneak peek into the development process. She’s putting together her own flavor of Seagram’s Escapes, giving an option to those who want to sip on wine coolers rather than the full-bodied wines.

“Think I am a natural at my new job tasting delicious @seagramsescapes flavors all dayπŸ˜‚
I came up with a yummy combination for my signature flavor that you guys are going to love. Can’t wait for y’all to taste itπŸ˜‹ #yeslabcoat #seagramsescapes #comingsoon @thebaileywinecellar,” Bailey captioned her post.

“This is the keeper, I love the peach passionfruit rosΓ©,” she says in one of the videos as she reviews various flavors. “And I think we’re gonna have to lose the peach mango sangria.”

Fans applauded Bailey’s hands-on business efforts.

In July, Bailey announced plans to open her own wine bar called The Bailey Wine Cellar. It’s set to be located in Atlanta’s Grant Park neighborhood on Grant Street. Bailey announced the new business venture by showing off the design plans on Instagram.

An opening date for the cellar along with an announcement of when the supermodel’s Seagram’s Escapes flavor will drop has yet to be revealed. So far, Bailey’s only teased #comingsoon on her IG page.


#Empire: Y.O.V.E. teens to meet ‘Empire’ star and face of Material Girl Serayah McNeill at Macy’s shopping experience
Macy’s Aventura is hosting 21 members of the Youth of Valor Empowerment program in an exclusive back-to-school event Aug. 12 that includes an exciting backstage meeting with actress and singer Serayah McNeill – best known for her role as Tiana Brown on the hit TV show, “Empire.”

Y.O.V.E. is part of a unique community-based movement focused on assisting underprivileged teenage girls in the City of North Miami.

By partnering with the Y.O.V.E., Macy’s is also treating the group of girls, which includes 15 program graduates, to a private in-store shopping experience with Macy’s My Stylists personal shoppers to select their new post-grad attire, all courtesy of Macy’s.

“This is truly a success story for our youth program girls,” says Lady Alourdes Pierre, CEO and Founder of Ladies of Valor Empowerment, of which Y.O.V.E. is a sister program.

“We are so delighted to welcome Macy’s to our ‘Empowerment Movement’, where we are literally transforming lives, one woman and one teenage girl at a time,” she said.

Following the Y.O.V.E. shopping experience, Serayah will perform for the general public between 2 and 4 p.m. As the face of Material Girl, the fierce and fashionable junior’s clothing brand, Serayah will then be available for a meet-and-greet and photos with the first 250 guests to make a Material Girl purchase at the Aventura store. The event is free and open to the public.
According to Lady Alourdes Pierre, Y.O.V.E. is the only movement of its kind in the city where professionals, civic leaders, and other giving community members, like Macy’s, come together to mentor, guide, and provide a hand up for high-risk teenage girls.

“It is so exciting to be partnering with Macy’s in this back-to-school program because it will literally equip the Y.O.VE. girls with greater confidence whereby they may achieve self-sufficiency through employment, continuing education, and leadership roles in our community,” says Lady Alourdes Pierre.

This year alone, 15 young women graduated from the two-year program, several of whom are now preparing to either head off to college, enlist with the military, and/or enter training as first responders.
“As a Miami Dade College alumni, I am so very proud that the majority of the 2018 Y.O.V.E. grads are on their way to MDC this fall, after successfully attending our two-year leadership development program.

“This is what the Y.O.V.E. Program is all about – equipping, coaching, and developing the next generation of women leaders for tomorrow,” Lady Alourdes Pierre added. Starting this fall, L.O.V.E. also plans to launch a new location focused on providing guidance in job-readiness skills and professional attire for employment interviews and placement.

#NewMusic from H.E.R. Drops New Ep ‘I Used To Know Her: The Prelude’

It’s H.E.R.‘s Time. The buzzing R&B songstress holds us over with the EP, I Used to Know Her: The Prelude.

The 6-track set opens with a Lauryn Hill inspired freestyle track titled “Lost Souls” featuring DJ Scratch, which pays homage to Hills classic “Lost Ones.” The remaining songs are more inline with H.E.R.’s highly-favored vulnerable songs and personal reflections. On “Against Me” she adds a deep spoken-word segment in the second half of the song. “All you do is lie / Word is bound right,” she asks. “But not with me, because I don’t know what it’s like / I’ll never understand the needs of a man or how to nurture.”

#HipHopNews: DJ Paul Claims Juicy J Has Officially Left Three 6 Mafia
Fans can stop holding out hope for a Three 6 Mafia reunion, according to DJ Paul.
In a conversation with Complex, Paul claimed Juicy J has officially “resigned” from the group.

“Me and him had a conversation maybe four months back,” Paul told Complex. “What he told me was, ‘I’m done with Three 6 Mafia and I’m just gonna keep moving forward with my solo stuff.’ His solo stuff has been successful, so I wasn’t tripping out. Everyone has seen it coming. Me and him haven’t worked together in years.”

Although the two haven’t collaborated in years and Juicy wasn’t part of Three 6 Mafia’s partial reunion as Da Mafia 6ix, Paul felt the need to give a definitive statement on the situation.
“It’s time to tell the fans because they keep asking,” he said. “They need to know. There ain’t no use in us playing like it’s going to happen one day.”

Juicy’s manager refuted Paul’s story.

“He’s not resigning from the group,” Juicy’s manager told Complex. “We still planning in the future [to] do some Three 6 Mafia stuff.”
Paul claims the group has been offered paydays of $250,000 or more for reunion shows, but they’ve always been turned down because the two “could never really see eye to eye on how the business side of it would go.”

Crunchy Black and Gangsta Boo, the other living members of Three 6 Mafia, were unaware of the conversations between Paul and Juicy.
“I haven’t talked to nobody about it,” Black told Complex. “I guess they was keeping it a secret, and now they’re gonna let it out. They’re grown men … I’m not trying to be in the mix of what Paul and Juicy got going on.”
Boo added, “Paul told me we may get back on the road together minus Juicy and ask[ed] me if I was down, I told him yes. I don’t know what they pillow talk about but I am always [Three 6] Mafia and will ride for the name ’til the end. I don’t use the name to throw it away when it’s convenient. It made me who I am today and I’m okay with that.”

Da Mafia 6ix — the closest thing to Three 6 Mafia reunion — featured all of the original members except for Juicy. It existed for two years.
This iteration of the group suffered a devastating loss when Lord Infamous passed away in December 2013, just one month after the release of their first project, 6ix Commandments.

Boo left the group in 2014 and Koopsta Knicca passed away in 2015, putting an end to Da Mafia 6ix’s run.

Starbucks will be playing a 55-song playlist throughout the day, according to a post on the official Instagram account for Whitney Houston, which is run by the the late singer’s estate
The playlist, which features famous Houston hits, such as “I Wanna Dance With Somebody,” “I Will Always Love You,” and the “Greatest Love of All,” was assembled by Houston’s former music director Rickey Minor.

Houston, whose multioctave voice broke barriers and helped her become one of the bestselling music artists of all time, died in 2012.


Omarosa secretly recorded Trump in a new TELL ALL BOOK!
Omarosa Manigault-Newman, a former aide to President Trump, secretly recorded conversations with the president while she was serving in the White House, multiple sources told the Daily Beast.

Manigault-Newman, who prior to working for the administration appeared as a contestant on Trump's reality show "The Apprentice," is coming out with a tell-all book about her experience in the White House. The book, titled "Unhinged," is set to be released on Aug. 14.
She wouldn't be the only person to have recorded her interactions with the president: Michael Cohen, Trump’s longtime personal lawyer and sometime-fixer, is known to have recorded Trump as well. One such recording was recently released and revealed Trump discussing possible payment to a former Playboy model with whom he was accused of having an affair.
The Hill has reached out to the White House for comment.

Simon & Schuster, the publisher of “Unhinged,” responded to the Daily Beast in a statement. “Without commenting on the specific contents of UNHINGED,” the spokesperson said, “we are confident that Omarosa Manigault Newman can substantiate her highly-anticipated account of life inside the Trump White House.”

The revelation of the tapes marks a stark departure from what was once a close relationship with Trump. In 2015, Trump tweeted about one of Manigault-Newman’s television appearances, saying, “.@OMAROSA You were fantastic on television this weekend. Thank you so much – you are a loyal friend!”

Leaked excerpts from the tell-all suggest this closeness is no longer shared. In the book, Manigault-Newman reflects on an interview the president did with NBC’s Lester Holt, saying "His mental decline could not be denied."

In an appearance on "Celebrity Big Brother" following her departure from the White House, she can be heard expressing concern for the direction of the Trump administration. “No, it’s not going to be okay, it’s not … It’s so bad,” she said.


Tamron Hall is getting ready For a Daytime Talk Show On ABC
Tamron Hall is one step closer to landing on daytime. The former NBC News and MSNBC anchor, has reportedly entered into a development holding agreement with Disney/ABC. This deal is is expected to create a daytime talk show for Hall to host.

Last year, we reported that her potential talk show may be in jeopardy over Harvey Weinstein’s sexual harassment scandal. Hall says she was visiting Safe Haven Shelter for Women when she found out the news.

It’s a woman’s worst nightmare to be in a situation where you believe someone more powerful has control over your life. I immediately thought about the women who have suffered in silence and were paralyzed by fear; fear that I’ve seen with domestic violence survivors; fear that I’ve seen when I interviewed women who were raped on their college campuses.

Hall first got to know Weinstein last February shortly after she decided to leave NBC and MSNBC when they announced that they were replacing her and Al Roker with Megyn Kelly for the third hour of the “Today” show. While Weinstein never behaved inappropriately with her, Hall said the only thing that matters is what he has admitted to doing and what his women accusers have said.
No additional details about the potential of her show have been shared.


Thirteen University of North Carolina Football Players Suspended For Selling School-Issued Nike Jordan Shoes
On Monday, the school made the announcement that the suspensions will range from one to four games. According to The Washington Post, the suspensions will be staggered for certain players “to protect the health and safety of the students.” University of South Carolina reported the violation in January. Players were selling the shoes with price ranges from less than $200 to $3,500.

The players who will be suspended  for four games include: quarterback Chazz Surratt, starting defensive end Malik Carney, offensive lineman Brian Anderson, wide receiver Beau Corrales, defensive end Tomon Fox, defensive end Tyrone Hopper, offensive lineman Quiron Johnson, linebacker Malik Robinson and offensive lineman Jordan Tucker. Defensive backs Greg Ross and Tre Shaw will miss two games, and quarterback Jack Davidson and offensive lineman Jonah Melton will miss one.

Surratt, who was in contention to be the team’s starting quarterback, may have given up his chance to Nathan Elliott. While Coach Larry Fedora didn’t disclose future plans, he did share his thoughts on the incident.
“I am certainly upset by our players’ actions and how their choices reflect on them, our program and the University,” Fedora said in a statement. “These young men knew the rules and are being held responsible for the poor choices they have made. Accountability is an important core principle in this program. We will learn from this and aim to do better in the future.”

The team’s season opens at California on Sept. 1

Jennifer Lopez Is Set To Star In “Hustlers” About Stripper Con Artists
Lorene Scafaria is directing the film, which is inspired by a New York Magazine article by Jessica Pressler entitled, “The Hustlers at Scores.” The piece details a crew of savvy former strip club employees who band together to turn the tables on their Wall Street clients. Lopez will play ringleader to the group of ambitious women who take their plans of getting their full cut too far.
Scafaria’s script takes place in the late aughts of New York City in the wake of the financial crisis and explores the toll it took on the livelihood of the dancers who relied on their Wall Street clientele.

“The film is an empathetic look at women and men, our gender roles, what we’re valued for, what we’ve been told is our value in every movie, TV show, every corner of culture,” Scafaria said. “Men have been told they’re worth the size of their bank accounts. Women have been told they’re worth the symmetry of their faces, their bodies, their beauty and that’s what this film is based on. The rules of the club are the rules of the world.”

Halle Berry Has Some Words For Lebron James And His I Promise School
Everyone it seems has an opinion about Lebron James and his recently opened I Promise School, including Oscar winning actress Halle Berry.
Berry, 47, let James know how she really feels about his “revolutionary” school  in an emotional message posted on her Instagram feed … and her words were ones of praise.

On Monday, the Ohio native applauded the NBA star for his dedication to providing education to underprivileged youth in her hometown.

“I grew up in a small town in Oakwood, #Ohio, about 20 mi north of#Akron,” she wrote. “The idea that something as revolutionary as the @ipromiseschool has been brought to Ohio’s children has me overwhelmed with joy.”

Berry posted a photo of James from the first day of the school’s opening flanked by smiling little girls.
James responded to Halle’s post in the comment section. “Thank you! I truly appreciate your words as well as all my kids @ipromiseschool! Means a lot,” he said followed by praying hands, a heart and one hundred emoji.

James opened the I Promise School on July 30 in his hometown of Akron Ohio. The School is a partnership between the LeBron James Family foundation and the Akron Public School and is designed to serve Akron’s most challenged students. The grades 1-8 school provides free uniforms, free breakfast, lunch and snacks, free bicycle and helmet and guaranteed tuition to the University of Akron for every student that graduates.


#RHONY’s Bethenny Frankel Says Many Housewives “Can’t Afford the Lives They’re Living,”
WOW Bethenny! In a new interview with Money magazine, Bethenny dished on Bravo housewives living beyond their means, plus she opened up about how she got out of debt, and how she manages to stay frugal despite her success. Also below, Bethenny tweets about getting an offer for a new show.

“They can’t afford the lives they’re living,” Bethenny told Money Magazine for their September issue about her Bravo counterparts. “And if the music stops, they’re going to get in some real trouble.”

“You can’t put yourself in a position where, if the s–t hit the fan, you couldn’t pay all of your bills at one time,” she added. “If the world came to an end, I would be able to pay for everything. I might not be left with much, but I can afford what I have.”

And the lifestyles of these Housewives don’t come cheap.  During a March appearance on the Wendy Williams Show,  Erika Jayne, of the Real Housewives of Beverly Hills, revealed she spends $40,000 a month to maintain her ultra fabulous lifestyle! And recently, Luann de Lesseps was sued by her kids and ex-husband over claims she spent money belonging to her kids, via an inheritance, to buy herself a new home.

While Bethenny can likely afford all the clothes, makeup, and homes she wants these days, thanks to the sale of Skinnygirl, which netted over $100 million back in 2011, she however maintains that she remains frugal due to her past struggles during her 20s and 30s in New York City.

“Even if it’s buying a diamond—which I’ve done—I’d like to be able to get a good deal on it,” Bethenny stated. “I don’t like to be robbed.”
She added that until her late thirties, “everything was just an anxiety and a struggle,” and that the $20,000 in credit card debt she racked up during that time didn’t help.

“It’s like the way people feel when they eat something and they don’t feel good about it,” she shared about being in debt, stating there were awkward dates where she couldn’t afford to pay any share of the bill in addition to occasionally bouncing checks. “I’d be on the phone begging to get the [credit card fees] reduced.”

Thanks to those hard days, Bethenny made sure to take careful measures to protect her businesses when she signed her very first contract to appear on RHONY.

Although she was paid only $7,250 for that first season (a surprisingly tiny sum for putting all your business in the street), she made an agreement with Bravo that would allow her to keep the profits from any outside endeavors that she promoted on the show. It was a wise choice that didn’t occur to some of her less savvy co-stars.

“Everybody else just had to try to play catch-up after they saw what I did,” Bethenny said of that time.
She also hinted that there might be a new deal in the works pertaining to her Skinnygirl empire, that could exceed the previous $100 million deal for her wine line.

In recent years, Skinnygirl’s expansion has included snacks, seltzers, and her recent jeans line. Bethenny however made it clear that “possibly the biggest business deal” for Skinnygirl to date could be in the making. She however refused to reveal any additional details about this possible deal.

In other Bethenny news, is it possible that she’s considering leaving RHONY, a la Carole Radziwill? Or, is she just weighing all of her options?

On Tuesday, she took to her Twitter to reveal she has gotten an offer to do another show.
She wrote, “I have just been called about doing a show, but I really try to only do what is really important for business so all my time with Bryn is work free.”

Interesting tweet as earlier this year, there were several reports stating she was considering quitting RHONY due to her feud with Carole.


Dave Bautista Threatens To Quit ‘Guardians Of The Galaxy’ Over James Gunn Firing
The “Guardians of the Galaxy” actor reportedly told entertainment site ShortList that if Marvel doesn’t use Gunn’s script, he wants out of his contract.
Actor Dave Bautista doesn’t sound excited to continue playing Drax the Destroyer in “Guardians of the Galaxy” after Disney fired director James Gunn for offensive tweets from his past.

The cast of the franchise publicly opposed Disney’s decision in an open letter of support for Gunn, which asked the company to reinstate the director.

On Sunday, a fan asked Bautista on Twitter if he had any plans if Gunn wasn’t reinstated for the upcoming third installment of the film series.
“I will do what Im legally obligated to do but @Guardians without @JamesGunn is not what I signed up for,” he responded. “GOTG w/o @JamesGunn just isn’t GOTG. Its also pretty nauseating to work for someone who’d empower a smear campaign by fascists #cybernazis . That’s just how I feel”

Last month, Disney fired Gunn after far-right media figures who had pushed the Pizzagate conspiracy theory unearthed offensive tweets involving pedophilia and rape that Gunn posted between 2008 and 2011. Gunn apologized for the tweets, which he described as “offensive jokes.”

Bautista in particular has emerged as an outspoken advocate of Gunn.

Although Bautista is legally contracted to be in the movie, the former wrestler reportedly told the entertainment site ShortList on Monday that he’ll work to get out of his contract if production company Marvel doesn’t use the script that Gunn apparently already turned in.
Dave Bautista has emerged as an outspoken advocate for James Gunn, who was fired from the next “Guardians of the Galaxy” movie after offensive tweets from his past resurfaced.
“Where I’m at right now is that if [Marvel] don’t use that script, then I’m going to ask them to release me from my contract, cut me out or recast me,” Bautista reportedly told ShortList. (His publicist did not respond to numerous calls from HuffPost to verify his comments.) “I’d be doing James a disservice if I didn’t.”

“Nobody’s defending his tweets, but this was a smear campaign on a good man,” he added. “I spoke to Chris Pratt the day after it happened and he’s a bit religious so he wanted time to pray and figure it out, but I was more like: f*ck this. This is bullshit. James is one of the kindest, most decent people I’ve met.”
Bautista told ShortList that he doesn’t think his push will lead Disney to rehire Gunn, but he hopes “it opens people’s eyes to James’ character.”

Neither Disney nor Marvel responded to requests for comment.


ESPN Canceling ‘SportsNation’ As Part Of Afternoon Lineup Changes
ESPN said the final episode of its long-running afternoon show SportsNation will air August 24, part of a revamp of the sports network’s afternoon lineup that includes adding a live edition of SportsCenter and shifting High Noon to a half-hour format. The full new schedule will debut September 11.

 “SportsNation has been a staple of our afternoon lineup for years, and while we felt it was time for a change, the collection of talented, creative people and content associated with that show has been extremely impressive and groundbreaking in many ways,” said Norby Williamson, ESPN’s EVP Production and Executive Editor, in sharing the news today.

SportsNation launched in 2009 with Colin Cowherd and Michelle Beadle co-hosting the show based on ESPN’s polls and fan forum section on ESPN.com (Beadle left for a stint at NBC Sports before returning, and Cohwerd is now at Fox Sports). The current incarnation is hosted by Cari Champion and LZ Granderson; Champion will now co-anchor the new SportsCenter block — titled SportsCenter: Coast To Coast, to originate from Los Angeles — while Granderson will continue to co-host a weekday radio show at ESPNLA 710 and contribute to other ESPN shows.

High Noon, which tapes in New York, is co-hosted by Bomani Jones and Pablo Torre. It will settle into a lineup at 4 PM ET and follow Outside the Lines, NFL Live and The Jump. During the NFL season its lead-ins Monday will shift to a 90-minute SportsCenter followed by NFL Primetime and NFL Live.


Tribune Media Terminates $3.9 Billion Deal To Be Bought By Sinclair
FCC Chairman Ajit Pai opposed the deal, but Trump supported it.
(REUTERS) - Tribune Media Co. has terminated its $3.9 billion deal to be bought by Sinclair Broadcast Group, the company said on Thursday, after regulators objected to the acquisition that had received support from U.S. President Donald Trump.

Tribune also filed a lawsuit against Sinclair, alleging material breach of contract, the company said.

“To maintain control over stations it was obligated to sell, Sinclair engaged in unnecessarily aggressive and protracted negotiations with the Department of Justice and the FCC over regulatory requirements,” Tribune said.

The Federal Communications Commission (FCC) said in July that Sinclair “did not fully disclose” facts about the merger, raising questions about whether the company “attempted to skirt the commission’s broadcast ownership rules.”

FCC Chairman Ajit Pai has been vocal in his opposition to the deal, a stance that was criticized by Trump.
“So sad and unfair that the FCC wouldn’t approve the Sinclair Broadcast merger with Tribune. This would have been a great and much needed Conservative voice for and of the People,” Trump tweeted in July.

The FCC later voted to refer the proposed merger to an administrative law judge to review questions about Sinclair’s candor, a move that analysts had then said would likely lead to the deal’s collapse.
“In light of the FCC’s unanimous decision, referring the issue of Sinclair’s conduct for a hearing before an administrative law judge, our merger cannot be completed within an acceptable time frame, if ever,” said Tribune Media Chief Executive Officer Peter Kern.

“This uncertainty and delay would be detrimental to our company and our shareholders.”
Under the terms of the deal, Tribune and Sinclair had the right to call off the deal without paying a termination fee if it was not completed by Aug. 8
